The terms that apply when your organization uses PriceRules — your workspace, your data, the API, and your Plan.

1.Agreement to these Terms
These Terms of Service (the "Terms") govern your access to and use of PriceRules, provided by [LEGAL COMPANY NAME]("PriceRules", "we", "us", or "our").
By signing in to or using PriceRules, you agree to these Terms. If you use PriceRules on behalf of a company or other organization, you confirm that you are authorized to accept these Terms for that organization, and "you" refers to that organization.
PriceRules is a business service. It is intended for use by companies and their authorized users, not for personal or household purposes.

3.Description of the Service
PriceRules helps businesses manage customer-specific pricing. The Service lets you:
- Maintain a catalog of products, customers, and pricing rules in a workspace.
- Import products, customers, and pricing rules from CSV files.
- Resolve prices through the PriceRules API, individually or in bulk.
- Test pricing outcomes in the pricing sandbox before using them in production.
- Review activity that takes place in your workspace.
Pricing results
PriceRules calculates prices from the products, customers, and pricing rules that you configure. You are responsible for the rules you create and for reviewing pricing results before relying on them in quotes, orders, invoices, or other transactions.
4.Account registration and sign-in
You can sign in to PriceRules with a one-time code sent to your email address or with a Google account. An account is created the first time you sign in.
You agree to:
- Provide accurate information and use an email address that you control.
- Keep access to your email account and Google account secure, since they are used to sign in to PriceRules.
- Not share sign-in codes with anyone.
- Tell us promptly if you believe your account has been accessed without authorization.
You are responsible for activity that takes place under your account.
5.Workspaces and user access
Customer Data in PriceRules is organized by workspace. Access within a workspace is controlled by roles — owner, admin, and viewer — which determine what each user can view or change.
- Owners and admins can manage workspace settings, data, and API keys.
- Viewers have read-only access to workspace data.
- You are responsible for deciding who has access to your workspace and with which role, and for removing access that is no longer needed.
6.API usage
Workspaces can create API keys to access the PriceRules API. When you use the API, you agree to the following:
- Treat API keys as confidential credentials. Do not expose them in browser-side code, public repositories, or other places where others can read them.
- You are responsible for all requests made with your workspace's API keys.
- Delete any API key that you believe has been exposed or compromised.
- Requests are subject to per-minute rate limits and monthly usage limits that depend on your Plan. Requests that exceed these limits may be rejected.
- Requests are subject to the per-request limits described in the API documentation.
- Do not attempt to bypass rate limits, usage limits, or authentication.

7.Imports and uploaded data
When you import a CSV file, PriceRules stores the file so it can be validated and processed. If rows fail validation, PriceRules may generate an error report so that you can correct them.
- Only upload data that you have the right to use and to provide to PriceRules.
- You are responsible for the accuracy and completeness of the data you import.
- Imports are subject to the import limits of your Plan.

8.Acceptable use
You agree not to, and not to allow others to:
- Use the Service in violation of any applicable law or regulation.
- Upload or transmit malicious code, or content that infringes the rights of others.
- Attempt to access workspaces, accounts, or data that you are not authorized to access.
- Interfere with or disrupt the Service, its infrastructure, or other customers' use of it.
- Probe, scan, or test the vulnerability of the Service without our prior written permission.
- Reverse engineer the Service, except to the extent that applicable law permits it.
- Resell, sublicense, or provide the Service to third parties as a standalone service without our written agreement.
- Use the Service to build a competing product using our non-public materials.
9.Customer Data
Your ownership
As between you and PriceRules, you own your Customer Data. These Terms do not transfer ownership of Customer Data to us.
Our use of Customer Data
You grant PriceRules a limited right to host, store, process, and transmit Customer Data as needed to provide, secure, and support the Service, and as otherwise described in our Privacy Policy.
Your responsibilities
Customer Data may include personal information about your own customers, such as names, email addresses, or regions. You are responsible for having a lawful basis to provide that information to PriceRules and for any notices or consents required by law.

10.Intellectual property
PriceRules and its licensors own the Service, including its software, design, documentation, and trademarks. Except for the limited right to use the Service under these Terms, no rights are granted to you.
If you send us feedback or suggestions, we may use them without any obligation to you.
11.Third-party services
The Service relies on third-party providers to operate, as described in our Privacy Policy. If you sign in with Google, your use of your Google account is also governed by Google's terms.
If you connect PriceRules to your own systems, such as an ERP, ecommerce platform, or backend, those systems are governed by their own terms. We are not responsible for third-party products or services that we do not control.
12.Plans, usage limits, and fees
Each workspace is on a Plan with usage limits, such as monthly API resolutions, products, customers, pricing rules, CSV imports, and API keys. The current Plans and limits are listed on our Pricing page.
Free plan
The Free plan is intended for evaluation and has lower limits. We may change or discontinue the Free plan, with notice where reasonably possible.
Paid plans
Fees for paid Plans are shown on the Pricing page or in an order form agreed with us.

Exceeding limits
When a workspace reaches a limit of its Plan, related requests or actions may be rejected until the usage period resets or the workspace moves to a Plan with higher limits.
13.Service availability and changes
We work to keep PriceRules available and reliable, but we do not guarantee that the Service will be uninterrupted or error-free. Unless a separate written agreement says otherwise, no specific uptime or service level is committed.
We may change, add, or remove features of the Service. If a change materially reduces the core functionality of a paid Plan, we will give notice of [NOTICE PERIOD FOR MATERIAL CHANGES].
14.Suspension and termination
By you
You may stop using PriceRules at any time. Workspace owners and admins can delete a workspace from the workspace Settings. To close your user account, contact us using the details below.
By us
We may suspend or terminate access to the Service if:
- You materially breach these Terms.
- Your use of the Service creates a security risk or could harm the Service or other customers.
- We are required to do so by law.

Where reasonably possible, we will notify you before suspending access.
15.Effect of termination
When a workspace is deleted or access is terminated, your right to use the Service for that workspace ends and its API keys stop working.
Deleting a workspace cannot be undone. Keep your own copy of any data you may need before deleting a workspace.

16.Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that pricing results will meet your requirements or be free of errors arising from the data or rules you provide.
17.Limitation of liability
To the maximum extent permitted by law, PriceRules will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising from or related to your use of the Service.
Our total liability for all claims relating to the Service will not exceed [LIABILITY CAP].
Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.
18.Indemnification
You agree to defend and indemnify PriceRules against third-party claims arising from your Customer Data, your use of the Service in breach of these Terms, or your violation of applicable law.
19.Changes to these Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. If a change is material, we will provide notice, for example by email or in the application, before it takes effect. Continuing to use the Service after changes take effect means you accept the updated Terms.
20.Governing law and jurisdiction
These Terms are governed by the laws of [GOVERNING LAW], without regard to its conflict-of-laws rules.
Any dispute arising from these Terms will be resolved in [COURTS / DISPUTE RESOLUTION VENUE].
21.General
- Entire agreement. These Terms, together with any order form or written agreement with us, are the entire agreement between you and PriceRules regarding the Service.
- Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
- No waiver. Not enforcing a provision is not a waiver of our right to enforce it later.
- Assignment. You may not transfer these Terms without our consent. We may transfer them in connection with a merger, acquisition, or sale of assets.
